Welcome to Snowdrift LLC ("Snowdrift," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Snowdrift website, applications, and services, including photo storage, file backup, sharing, AI-powered organization tools, and related features (collectively, the "Services").

By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 13 years old to use the Services. If you are under the age of majority where you live, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

You may use the Services only if you can legally enter into a binding agreement and are not prohibited from using the Services under applicable law.

2. Accounts

You may create an account using supported authentication methods such as email/password, Google, Apple, or other methods we may offer.

You are responsible for:

  • maintaining the confidentiality of your login credentials,
  • all activity under your account,
  • keeping your contact and billing information current, and
  • promptly notifying us of unauthorized use.

You may not share login credentials with others. If your subscription permits multiple users, each user must use their own authorized login credentials.

3. Team or Multi-User Accounts

Some plans may permit multiple authorized users under a single paid account, workspace, or subscription. The account owner or administrator is responsible for managing access, permissions, billing, and compliance by invited users.

We may rely on instructions from the account owner or designated administrators regarding workspace management.

4. Your Content

You retain ownership of the photos, files, text, metadata, and other content you upload or store through the Services ("User Content").

You grant Snowdrift a worldwide, non-exclusive, royalty-free license to host, copy, store, process, transmit, reproduce, modify (for technical purposes), create previews or derivative formats, and otherwise use User Content solely as necessary to operate, secure, improve, and provide the Services to you.

We do not claim ownership of your User Content.

5. AI and Automated Processing

To provide and improve the Services, Snowdrift may use automated systems, machine learning, and AI-powered tools to process User Content and account data for features such as:

  • search by text,
  • similarity search,
  • duplicate detection,
  • image quality scoring,
  • sorting and organization,
  • metadata extraction,
  • thumbnail or preview generation,
  • categorization,
  • OCR or text recognition,
  • image editing tools,
  • summaries or recommendations, and
  • future functionality reasonably related to the Services.

Snowdrift does not use your User Content to train general-purpose AI models for use by other customers or the public. Processing is used to provide features within your account or workspace.

6. Storage, Availability, and Backups

Snowdrift is a storage and productivity platform, but no storage system is perfect. You acknowledge that files may become unavailable, corrupted, delayed, lost, or deleted due to hardware failures, software issues, security incidents, user actions, provider outages, or other causes.

You are solely responsible for maintaining independent backups of important files. Snowdrift is not a guaranteed archival or disaster recovery service unless expressly stated otherwise in a separate written agreement.

7. Deleted Files and Trash Retention

When you delete files, they are generally moved to a trash or recovery area for approximately 30 days, during which time they may be recoverable through the Services.

After that period, files are marked for permanent deletion, removed from user view, and may remain in internal systems or backups for up to an additional 7 days before final deletion.

Retention timing may vary due to technical processes, legal requirements, or security needs.

8. Storage Limits, Overage, and Downgrades

Your use of the Services may be subject to storage, bandwidth, feature, or user limits based on your plan.

If your account exceeds applicable limits, we may:

  • restrict uploads or certain features,
  • notify you and request corrective action,
  • provide a grace period,
  • downgrade your plan after failed payment or cancellation,
  • move excess files to trash after applicable grace periods, or
  • remove excess files in accordance with our retention processes.

Paid Plan Nonpayment

If payment for a paid plan fails and the account exceeds free-tier limits, we may provide up to 30 days to resolve billing. If unresolved, the plan may be downgraded to the free tier. If the account remains over limit after downgrade, we may provide an additional grace period of approximately 30 days before moving excess files to trash.

Files placed in trash are then subject to the deletion timelines described above.

9. Billing and Renewals

Paid subscriptions are billed through Stripe or another payment processor we designate.

By purchasing a paid plan, you authorize recurring charges for the selected billing interval until canceled.

Unless otherwise stated:

  • subscriptions renew automatically,
  • fees are charged in advance,
  • taxes may apply,
  • pricing may change with reasonable prior notice, and
  • you are responsible for valid payment information.

Refunds

Payments are non-refundable, except where required by law or where Snowdrift chooses, in its sole discretion, to provide a refund.

10. Cancellation

You may cancel your subscription at any time. Unless required by law, cancellation stops future renewals and does not automatically entitle you to refunds for prior charges.

After cancellation, your account may revert to the applicable free tier and become subject to storage limits and overage policies.

11. Sharing Features

Snowdrift may allow you to generate share links or otherwise share content.

Current share links may allow anyone with the link to access shared content without logging in. You are responsible for all content you share and for distributing links only to intended recipients.

Future sharing controls such as passwords, expiration dates, or restricted access may be added, changed, or removed.

12. Acceptable Use

You may not use the Services to:

  • violate any law,
  • infringe intellectual property rights,
  • upload malware or malicious code,
  • interfere with or disrupt the Services,
  • attempt unauthorized access,
  • send spam or abusive content,
  • exploit or endanger minors,
  • store or distribute unlawful sexual abuse material,
  • impersonate others,
  • abuse share links or platform resources, or
  • use the Services in ways that create security, legal, or reputational risk.

14. Suspension and Termination

We may suspend, restrict, or terminate access to the Services at any time, with or without notice, if we reasonably believe you violated these Terms, created risk, failed to pay fees, or used the Services improperly.

You may stop using the Services at any time.

Sections that by nature should survive termination will survive, including payment obligations, ownership provisions, disclaimers, liability limits, dispute resolution, and indemnification.

15. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated by reference into these Terms.

16. Third-Party Services

The Services may integrate with or rely on third-party providers, including hosting, storage, payment, login, analytics, and AI providers. We are not responsible for third-party services or their acts or omissions.

17. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SNOWDRIFT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SNOWDRIFT LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID TO SNOWDRIFT FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM, OR
  2. US $100.

19. Indemnification

You agree to defend, indemnify, and hold harmless Snowdrift LLC and its affiliates, officers, employees, and agents from claims, liabilities, damages, and expenses arising from:

  • your use of the Services,
  • your User Content,
  • your violation of these Terms, or
  • your violation of applicable law or third-party rights.

20. Dispute Resolution; Arbitration

Please contact us first so we can try to resolve disputes informally.

Except where prohibited by law, disputes arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration rather than in court, except eligible small claims matters.

You and Snowdrift waive any right to participate in class actions, class arbitrations, or representative proceedings.

Arbitration procedures, forum rules, and administrative details may be provided in a supplemental policy or applicable notice.

21. Governing Law and Venue

These Terms are governed by the laws of the State of Iowa, without regard to conflict of laws principles.

For matters permitted in court rather than arbitration, exclusive venue shall lie in the state or federal courts located in or serving Des Moines, Iowa.

22. Changes to These Terms

We may modify these Terms from time to time. If changes are material, we will provide reasonable notice by posting updated Terms, email, or through the Services.

Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
